Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Rev platform, including our mobile application, website at bigrevs.com, and related services (collectively, the "Platform"). The Platform is operated by Derrick Dadson ("Rev", "we", "us", or "our"). By creating an account, accessing, or using the Platform in any way, you ("you", "your", or "User") agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.

1. Definitions

In these Terms: "Buyer" means a User seeking to purchase a vehicle; "Seller" means a User advertising a vehicle for sale, including private sellers and dealers; "Dealer" means a User who advertises vehicles in the course of a business; "Listing" means any advertisement, content, image, video, or information a User posts on the Platform; "Content" means any material submitted, posted, or transmitted by a User; and "Transaction" means any sale, purchase, exchange, or dealing between Users arising from the Platform.

2. Nature of the Service

Rev provides an online marketplace that enables Users to advertise vehicles and to contact one another. Our role is strictly limited to facilitating connections between Users.

• We are not a party to, and take no part in, any Transaction between Users.
• We do not own, sell, buy, inspect, store, deliver, or take possession of any vehicle advertised on the Platform.
• We do not provide escrow, payment processing for vehicle sales, financing, insurance, valuation, or transport services.
• We do not verify, endorse, or guarantee any Listing, vehicle, Seller, Dealer, Buyer, or any information supplied by Users, including mileage, ownership, accident or service history, title, registration, roadworthiness, mechanical condition, price, or authenticity.
• Any decision to buy, sell, or otherwise deal with another User is made solely at your own discretion and risk.

3. Eligibility

You must be at least eighteen (18) years old and have the legal capacity to enter into a binding contract under the laws of the Republic of Ghana. By using the Platform you represent and warrant that you meet these requirements, that all information you provide is accurate, and that your use of the Platform complies with all applicable laws. Dealers and businesses must additionally hold all licences, permits, and registrations required to trade in vehicles in Ghana.

4. User Accounts

• You must create an account to post Listings and to access certain features. You agree to provide accurate, current, and complete information and to keep it up to date.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must notify us immediately of any unauthorised use of your account or any other breach of security.
• You may not create more than one account for improper purposes, impersonate any person, or transfer your account to another person without our consent.
• We may refuse registration, or suspend or terminate any account, at our discretion in accordance with these Terms.

5. Vehicle Listing Requirements

When you post a Listing, you represent and warrant that:

• You are the lawful owner of the vehicle, or are duly authorised by the owner to advertise it for sale.
• All information, descriptions, photographs, and videos are accurate, current, genuine, and not misleading, and depict the actual vehicle advertised.
• The vehicle may be lawfully sold and is free from any undisclosed encumbrance, lien, or legal restriction, or any such matter is clearly disclosed.
• The price and terms stated are genuine, and the Listing is placed in good faith with a genuine intention to sell.
• You will keep the Listing accurate and will update or remove it promptly when the vehicle is sold or is no longer available.

All Listings are subject to review and approval before they become visible to other Users. We may reject, edit, re-categorise, suspend, or remove any Listing at our discretion, including Listings that are fraudulent, misleading, illegal, duplicated, stolen, or otherwise in breach of these Terms, without liability to you.

6. Prohibited Vehicles and Listings

You must not post, and you agree not to post, any Listing or Content that:

• Advertises a stolen vehicle, or a vehicle you do not own or are not authorised to sell;
• Contains false, misleading, deceptive, or fraudulent information, including tampered mileage or falsified history;
• Includes counterfeit, forged, or altered documents, titles, or registrations;
• Advertises a vehicle that cannot lawfully be sold, imported, registered, or operated in Ghana;
• Is duplicated, spam, or posted in bulk to manipulate the Platform;
• Infringes the intellectual property, privacy, or other rights of any person;
• Is unlawful, defamatory, obscene, harassing, hateful, discriminatory, or otherwise objectionable; or
• Promotes or facilitates fraud, scams, money laundering, or any unlawful activity.

We operate a zero-tolerance policy towards fraudulent, unlawful, and objectionable Content and towards abusive Users.

7. Paid Listings, Subscriptions, Billing and Refunds

• Basic use of the Platform may be offered free of charge. We may offer optional paid services, including listing fees, subscription plans, featured or promoted Listings, and additional advertising slots ("Paid Services").
• Paid Services are for advertising and platform services only. They increase the visibility of a Listing but do not guarantee a sale, a Buyer, any inquiries, a minimum number of views, or any particular result or outcome.
• Fees, billing cycles, and features applicable to Paid Services will be presented to you before purchase. All fees are stated in Ghana Cedis (GH₵) unless otherwise indicated and are exclusive of any applicable taxes or levies unless stated.
• Subscriptions renew automatically for successive periods unless cancelled before the renewal date. You may cancel future renewals at any time; cancellation takes effect at the end of the current billing period.
• Except where required by applicable law, fees for Paid Services are non-refundable, including where a Listing is removed for breach of these Terms or where a Transaction does not complete. Where a payment is processed through a third-party app store or payment provider, that provider's refund policies may also apply.
• We may change our fees or the features of Paid Services on reasonable notice. Continued use of a Paid Service after a change takes effect constitutes acceptance of the change.

8. Buyer Responsibilities

As a Buyer, you acknowledge and agree that you are solely responsible for:

• Independently verifying the identity and trustworthiness of the Seller;
• Confirming ownership, title, registration, mileage, accident and service history, and the mechanical and roadworthy condition of any vehicle;
• Inspecting the vehicle in person, or arranging a qualified independent inspection, before making any payment;
• Satisfying yourself as to the accuracy of all information in a Listing, which Rev does not verify;
• Arranging your own payment method, and understanding that Rev does not hold funds or provide escrow; and
• Complying with all applicable laws relating to the purchase, registration, insurance, taxation, and operation of the vehicle.

You should exercise caution, meet in safe public places, and avoid making payments or deposits before satisfactory inspection and verification.

9. Seller Responsibilities

As a Seller or Dealer, you acknowledge and agree that you are solely responsible for:

• Ensuring you have the lawful right to sell each vehicle you advertise;
• Providing accurate, complete, and non-misleading descriptions and genuine photographs and videos;
• Disclosing any material defect, damage, outstanding finance, or legal restriction affecting the vehicle;
• Holding and, where required, presenting valid ownership and registration documents;
• Complying with all applicable consumer protection, licensing, tax, and other legal obligations in Ghana; and
• Honouring the terms of any Transaction you agree with a Buyer.

10. Vehicle Inspections and Verification

Any identity checks, "verified" badges, trust scores, or similar indicators displayed on the Platform are provided for general guidance only, are based on limited information, and do not constitute a warranty, endorsement, or guarantee by Rev of any User, vehicle, or Listing. Users remain solely responsible for conducting their own due diligence, inspections, and verification. Rev does not inspect vehicles and gives no assurance as to their condition, legality, or fitness for any purpose.

11. User-Generated Content

You retain ownership of the Content you submit. By submitting Content, you grant Rev a non-exclusive, worldwide, royalty-free, transferable, and sub-licensable licence to host, store, reproduce, adapt, publish, display, and distribute that Content for the purposes of operating, promoting, and improving the Platform. This licence continues for Content that is retained in backups or that other Users have shared, and otherwise ends when the Content is removed.

You are solely responsible for your Content and represent that you own it or have all necessary rights to submit it and to grant the above licence. We may, but are not obliged to, monitor, review, moderate, edit, refuse, or remove any Content at our discretion. We reserve the right to remove Content and to suspend or terminate accounts that breach these Terms.

12. Intellectual Property

The Platform, including its software, design, text, graphics, logos, the "Rev" name and brand, and all related intellectual property, is owned by or licensed to Rev and is protected by applicable laws. Except as expressly permitted, you may not copy, modify, distribute, reverse-engineer, or create derivative works from any part of the Platform, or use our trademarks, without our prior written consent. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Platform for its intended purpose in accordance with these Terms.

13. Privacy

Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms. By using the Platform you consent to that processing. We handle personal data in a manner consistent with applicable Ghanaian data protection law, including the Data Protection Act, 2012 (Act 843).

14. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, to the fullest extent permitted by law. Without limitation, Rev does not warrant that:

• Any Listing, vehicle, or information is accurate, genuine, lawful, or complete;
• Any Seller, Dealer, or Buyer is trustworthy, legitimate, or will perform any obligation;
• Any Transaction will be completed, or that a vehicle is as described, roadworthy, or fit for any purpose; or
• The Platform will be uninterrupted, secure, error-free, or free of harmful components.

To the extent any warranty cannot be excluded under Ghanaian law, our liability for breach of that warranty is limited as set out in Section 15.

15. Limitation of Liability

To the fullest extent permitted by law, Rev, and its owner, officers, employees, and agents, will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary loss, or for any loss of profit, revenue, data, goodwill, or opportunity, arising out of or in connection with your use of the Platform or any Transaction, whether in contract, tort (including negligence), or otherwise.

Without limiting the above, Rev is not liable for any loss or damage arising from: the acts or omissions of any User; the condition, legality, or ownership of any vehicle; any misrepresentation, fraud, or non-performance by a User; any payment made between Users; or any inability to access or use the Platform.

To the fullest extent permitted by law, our total aggregate liability to you for all claims arising out of or relating to the Platform will not exceed the greater of (a) the total amount of fees you paid to Rev for Paid Services in the three (3) months immediately preceding the event giving rise to the claim, or (b) GH₵ 500. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

16. Indemnification

You agree to indemnify, defend, and hold harmless Rev and its owner, officers, employees, and agents from and against any claims, demands, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with: (a) your Listings, Content, or Transactions; (b) your breach of these Terms or of any applicable law; (c) your infringement of the rights of any third party; or (d) your misuse of the Platform.

17. Fraud Prevention and Reporting

We take fraud seriously and provide tools for Users to report suspicious Listings and to block other Users. If you encounter a Listing or User that appears fraudulent, unlawful, or otherwise in breach of these Terms, you should report it through the in-app reporting feature or by contacting us at the details in Section 23. We may investigate suspected breaches, cooperate with law enforcement, remove Content, and suspend or terminate accounts. We do not, however, guarantee that we will detect or prevent all fraudulent activity, and Users remain responsible for their own due diligence.

18. Account Suspension and Termination

We may suspend, restrict, or permanently terminate your account or access to the Platform, and remove any Content, with or without notice, if we reasonably believe that you have breached these Terms, engaged in fraud or unlawful conduct, or created risk or legal exposure for Rev or other Users. You may stop using the Platform and close your account at any time through the in-app account deletion feature. Termination does not affect any rights or obligations that accrued before termination, and the provisions which by their nature should survive (including Sections 11, 12, 14, 15, 16, 19, and 20) will survive.

19. Governing Law

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or formation (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of the Republic of Ghana.

20. Dispute Resolution

• Between Users: Disputes arising from a Transaction are solely between the Users involved. Rev is not a party to such disputes and has no obligation to mediate or resolve them, although we may, at our discretion, provide limited assistance.
• With Rev: If a dispute arises between you and Rev, the parties will first attempt to resolve it amicably through good-faith negotiation. You agree to contact us and allow a period of thirty (30) days to resolve the matter informally.
• Arbitration / courts: If the dispute is not resolved informally, it may be referred to arbitration in Accra, Ghana, in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798), or, failing agreement to arbitrate, submitted to the exclusive jurisdiction of the courts of Ghana.

21. Changes to the Terms

We may amend these Terms from time to time. When we do, we will update the "Last updated" date above and, where changes are material, take reasonable steps to notify you, such as through the Platform. Your continued use of the Platform after the changes take effect constitutes acceptance of the amended Terms. If you do not agree to the changes, you must stop using the Platform.

22. General Provisions

• Entire agreement: These Terms, together with the Privacy Policy and any terms applicable to Paid Services, constitute the entire agreement between you and Rev regarding the Platform.
• Severability: If any provision is held to be invalid or unenforceable, the remaining provisions continue in full force, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.
• No waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations to a successor or affiliate.
• Force majeure: We are not liable for any failure or delay caused by events beyond our reasonable control.
• App stores: If you access the Platform through the Apple App Store or another app marketplace, you also agree to that provider's terms. Where you use the iOS app, these Terms are between you and Rev only, not Apple; Apple has no obligation to provide support for the app; and Apple is a third-party beneficiary entitled to enforce these Terms.
